CGN Mining Company Limited Announces Change of Independent Non-Executive Director and Composition of Board Committees The board of directors of CGN Mining Company Limited announced that, with effect from 12 March 2025, Mr. Qiu Xianhong resigned as an independent non-executive Director of the Company, the chairman of the audit committee, the chairman of the remuneration committee and a member of the nomination committee of the Board as he decided to devote more time to his other personal matters. Mr. Qiu Xianhong has confirmed that he has no disagreement with the Board and there are no other matters in respect of his resignation that needs to be brought to the attention of the shareholders of the Company or The Stock Exchange of Hong Kong Limited. The Board also announced that, with effect from 12 March 2025, Ms. Dai Qijia has been appointed as an independent non-executive Director of the Company, as well as the chairwoman of the remuneration committee, a member of the audit committee and a member of the nomination committee of the Board.
