Prologis, Inc. (NYSE:PLD) insiders sold US$7.8m worth of stock suggesting impending weakness.
Many Prologis, Inc. (NYSE:PLD) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Prologis Insider Transactions Over The Last Year
In the last twelve months, the biggest single sale by an insider was when the Lead Independent Director, Irving Lyons, sold US$7.3m worth of shares at a price of US$165 per share. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$118. So it may not tell us anything about how insiders feel about the current share price.
Over the last year, we can see that insiders have bought 24.00k shares worth US$2.8m. But they sold 47.69k shares for US$7.8m. All up, insiders sold more shares in Prologis than they bought, over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. Insiders At Prologis Have Bought Stock Recently

Insider Ownership Of Prologis
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Prologis insiders own about US$116m worth of shares (which is 0.1% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
So What Does This Data Suggest About Prologis Insiders?
It is good to see the recent insider purchase. However, the longer term transactions are not so encouraging. The high levels of insider ownership, and the recent buying by an insider suggests they are well aligned and optimistic. While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. To that end, you should learn about the 4 warning signs we've spotted with Prologis (including 2 which are significant).
