Qiagen Insiders Sell US$7.0m Of Stock, Possibly Signalling Caution

Many Qiagen N.V. (NYSE:QGEN) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Qiagen

The Independent Member of the Supervisory Board & Vice Chair of the Scientific Advisory Board, Metin Colpan, made the biggest insider sale in the last 12 months. That single transaction was for US$4.6m worth of shares at a price of US$46.45 each. That means that an insider was selling shares at around the current price of US$45.48. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Insider Ownership Of Qiagen

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. A high insider ownership often makes company leadership more mindful of shareholder interests. Insiders own 0.5% of Qiagen shares, worth about US$46m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Do The Qiagen Insider Transactions Indicate?

It doesn't really mean much that no insider has traded Qiagen shares in the last quarter. We don't take much encouragement from the transactions by Qiagen insiders. The modest level of insider ownership is, at least, some comfort. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Qiagen.
