It is not uncommon to see companies perform well in the years after insiders buy shares. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So shareholders might well want to know whether insiders have been buying or selling shares in Soleno Therapeutics, Inc. (NASDAQ:SLNO).

What Is Insider Buying?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock in the company. However, rules govern insider transactions, and certain disclosures are required.

We don't think shareholders should simply follow insider transactions. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year'.

The Last 12 Months Of Insider Transactions At Soleno Therapeutics

The insider Jack Schuler made the biggest insider purchase in the last 12 months. That single transaction was for US$8.5m worth of shares at a price of US$1.65 each. That implies that an insider found the current price of US$1.98 per share to be enticing. While their view may have changed since the purchase was made, this does at least suggest they have had confidence in the company's future. We do always like to see insider buying, but it is worth noting if those purchases were made at well below today's share price, as the discount to value may have narrowed with the rising price. Happily, the Soleno Therapeutics insider decided to buy shares at close to current prices. Jack Schuler was the only individual insider to buy shares in the last twelve months.

Does Soleno Therapeutics Boast High Insider Ownership?

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. A high insider ownership often makes company leadership more mindful of shareholder interests. It appears that Soleno Therapeutics insiders own 16% of the company, worth about US$26m.
