Funding Circle Holdings plc Announces Board Changes, Effective August 1, 2025 Funding Circle announced the appointment of Richard Harvey as an independent non-executive director and Chair of the Risk Committee with effect from 1 August 2025. The Company’s currently combined Audit and Risk Committee will be separated into two separate committees, with existing non-executive director, Maeve Byrne chairing the Audit Committee as previously announced. Richard Harvey will also be a member of the Audit Committee, the Remuneration Committee and the Nomination Committee. Richard brings a wealth of experience in risk management as well as over 30 years commercial experience in lending and credit cards, having held senior executive positions at HSBC, GE Money and Barclays. Funding Circle Holdings plc Announces Board and Committee Changes Funding Circle Holdings plc announced the appointment of Ken Stannard as non-executive director and Chair Designate with effect from 1 January 2025. This announcement follows the Company’s disclosure in its 2023 Annual Report that it would commence a search process for a successor to Andrew Learoyd who has held the Chair role since May 2016. Following a transition period, Ken will succeed Andrew as Chair immediately following the Annual General Meeting in May 2025. Ken brings almost 30 years’ experience in credit, lending and payments, having held senior executive roles at Lloyds Banking Group, Capital One and American Express. Most recently, as CEO of Cabot Credit Management, he grew the company into one of the largest and most profitable credit management services companies in Europe. Amongst other private company non-executive roles, Ken is currently chair of Castle Trust Bank, an innovative provider of savings accounts, specialist mortgages and retail finance solutions. On stepping up to chair Funding Circle in May, Ken will have a total of four non-executive director roles. Ibusiness Funding, LLC agreed to acquire Funding Circle USA, Inc. from Funding Circle Holdings plc (LSE:FCH) for £33 million. Ibusiness Funding, LLC agreed to acquire Funding Circle USA, Inc. from Funding Circle Holdings plc (LSE:FCH) for £33 million on June 24, 2024. The transaction will be for a total cash consideration of £33 million, for the US business including all loan portfolios. Total cash consideration subject to net asset adjustment at closing. The proceeds from the transaction will be reviewed in line with Ibusiness allocation framework. The transaction is expected to close by the end of June. As the Ready Capital group already holds an SBLC license, Funding Circle has, with SBA consent, surrendered its SBLC license. Funding Circle US had gross assets of £89 million as at 31 December 2023. Reporting to Chief Executive Officer Lisa Jacobs, Steve will play a crucial role in honing in on the meaningful opportunity that exists to serve more small business borrowers in the U.S. Most recently, Steve was Chief Operating Officer at BlueVine, a small business banking provider in the U.S. He previously served as President of LendingClub, where he grew revenue, transformed the organisation, and expanded its product set. Before that, Steve led PayPal's multi-billion-dollar credit business, PayPal Credit, where he launched and scaled small business lending, which soon became one of PayPal's fastest-growing and most valuable businesses. Steve also held a number of senior leadership positions at Wells Fargo.
