Possible Bearish Signals With Capital One Financial Insiders Disposing Stock
In the last year, many Capital One Financial Corporation (NYSE:COF) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.
Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

Capital One Financial Insider Transactions Over The Last Year
In the last twelve months, the biggest single sale by an insider was when the insider, Celia S. Karam, sold US$2.4m worth of shares at a price of US$143 per share. That means that an insider was selling shares at around the current price of US$134. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).

Over the last three months, we've seen significant insider selling at Capital One Financial. In total, insiders sold US$6.0m worth of shares in that time, and we didn't record any purchases whatsoever. Overall this makes us a bit cautious, but it's not the be all and end all.
Insider Ownership
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. Capital One Financial insiders own about US$631m worth of shares (which is 1.2% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
