Paychex Insiders Sold US$8.4m Of Shares Suggesting Hesitancy

The fact that multiple Paychex, Inc. (NASDAQ:PAYX) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

In the last twelve months, the biggest single sale by an insider was when the Chairman, Martin Mucci, sold US$5.5m worth of shares at a price of US$117 per share. That means that an insider was selling shares at slightly below the current price (US$150). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 9.3% of Martin Mucci's holding.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. Paychex insiders own 11% of the company, currently worth about US$5.7b based on the recent share price. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
