Need To Know: Dorman Products, Inc. (NASDAQ:DORM) Insiders Have Been Selling Shares
We often see insiders buying up shares in companies that perform well over the long term. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So we'll take a look at whether insiders have been buying or selling shares in Dorman Products, Inc. (NASDAQ:DORM).
What Is Insider Buying?
Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock in the company. However, most countries require that the company discloses such transactions to the market.
We don't think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

Dorman Products Insider Transactions Over The Last Year
In the last twelve months, the biggest single sale by an insider was when the Founder & Executive Chairman, Steven Berman, sold US$17m worth of shares at a price of US$99.00 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$103. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 5.2% of Steven Berman's holding.

Insider Ownership of Dorman Products
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. Dorman Products insiders own 16% of the company, currently worth about US$527m based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
What Might The Insider Transactions At Dorman Products Tell Us?
