It is not uncommon to see companies perform well in the years after insiders buy shares. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So shareholders might well want to know whether insiders have been buying or selling shares in Vertoz Advertising Limited (NSE:VERTOZ).

Do Insider Transactions Matter?

It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, such insiders must disclose their trading activities, and not trade on inside information.

We don't think shareholders should simply follow insider transactions. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

Vertoz Advertising Insider Transactions Over The Last Year

The Whole-Time Director, Hirenkumar Shah, made the biggest insider sale in the last 12 months. That single transaction was for ₹70m worth of shares at a price of ₹70.41 each. So it's clear an insider wanted to take some cash off the table, even below the current price of ₹227. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 24% of Hirenkumar Shah's holding. Hirenkumar Shah was the only individual insider to sell over the last year.
