It is not uncommon to see companies perform well in the years after insiders buy shares. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So we'll take a look at whether insiders have been buying or selling shares in XD Inc. (HKG:2400).
What Is Insider Selling?
It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, most countries require that the company discloses such transactions to the market.
We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But equally, we would consider it foolish to ignore insider transactions altogether. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise'.

The Last 12 Months Of Insider Transactions At XD
Over the last year, we can see that the biggest insider purchase was by Founder Yimeng Huang for HK$39m worth of shares, at about HK$18.37 per share. Although we like to see insider buying, we note that this large purchase was at significantly below the recent price of HK$51.40. Because the shares were purchased at a lower price, this particular buy doesn't tell us much about how insiders feel about the current share price.

Does XD Boast High Insider Ownership?
Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. XD insiders own 53% of the company, currently worth about HK$13b based on the recent share price. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
So What Does This Data Suggest About XD Insiders?
It doesn't really mean much that no insider has traded XD shares in the last quarter. But insiders have shown more of an appetite for the stock, over the last year. With high insider ownership and encouraging transactions, it seems like XD insiders think the business has merit. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
