We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So shareholders might well want to know whether insiders have been buying or selling shares in Simonds Group Limited (ASX:SIO).

What Is Insider Selling?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock in the company. However, such insiders must disclose their trading activities, and not trade on inside information.

Insider transactions are not the most important thing when it comes to long-term investing. But it is perfectly logical to keep tabs on what insiders are doing. As Peter Lynch said, 'insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise'.

Simonds Group Insider Transactions Over The Last Year

The Founder & Senior Company Advisor Vallence Simonds made the biggest insider purchase in the last 12 months. That single transaction was for AU$840k worth of shares at a price of AU$0.35 each. So it's clear an insider wanted to buy, at around the current price, which is AU$0.40. That means they have been optimistic about the company in the past, though they may have changed their mind. If someone buys shares at well below current prices, it's a good sign on balance, but keep in mind they may no longer see value. The good news for Simonds Group share holders is that an insider was buying at near the current price. Vallence Simonds was the only individual insider to buy shares in the last twelve months.

Vallence Simonds purchased 4.31m shares over the year. The average price per share was AU$0.34. I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
