Should You Take Comfort From Insider Transactions At Veris Limited (ASX:VRS)?
We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So shareholders might well want to know whether insiders have been buying or selling shares in Veris Limited (ASX:VRS).
What Is Insider Selling?
It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, such insiders must disclose their trading activities, and not trade on inside information.
We don't think shareholders should simply follow insider transactions. But equally, we would consider it foolish to ignore insider transactions altogether. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year'.

Veris Insider Transactions Over The Last Year
The insider, Chapman Graeme, made the biggest insider sale in the last 12 months. That single transaction was for AU$216k worth of shares at a price of AU$0.035 each. That means that an insider was selling shares at slightly below the current price (AU$0.067). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 32% of Chapman Graeme's stake. Chapman Graeme was the only individual insider to sell shares in the last twelve months.
In the last twelve months insiders purchased 13.18m shares for AU$386k. On the other hand they divested 6.16m shares, for AU$216k. In the last twelve months there was more buying than selling by Veris insiders. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. Veris Insiders Bought Stock Recently
We saw some Veris insider buying shares in the last three months. Non-Executive Director Brian Elton bought AU$20k worth of shares in that time. It's great to see that insiders are only buying, not selling. However, in this case the amount invested recently is quite small.
Does Veris Boast High Insider Ownership?
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. Veris insiders own about AU$12m worth of shares. That equates to 33% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
So What Does This Data Suggest About Veris Insiders?
Insider purchases may have been minimal, in the last three months, but there was no selling at all. Overall the buying isn't worth writing home about. But insiders have shown more of an appetite for the stock, over the last year. Overall we don't see anything to make us think Veris insiders are doubting the company, and they do own shares. While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. To help with this, we've discovered 4 warning signs (1 shouldn't be ignored!) that you ought to be aware of before buying any shares in Veris.
