(OTCPK:CBDW) signed a definitive agreement to acquire to acquire 51% stake in Sim Agro Inc. for $0.20 million on May 2, 2026. 1606 Corp. will issue to Karthik Raghavan, the sole stockholder of Sim Agro, 150,000,000 shares of the 1606 Corp. common stock at Closing and 100,000,000 additional shares of the 1606 Corp. common stock on January 1, 2027. 1606 Corp. has the right, but not the obligation, to satisfy its obligation to issue the Deferred Equity Shares by paying $2.1 million in cash in lieu thereof, subject to the conditions set forth in the Agreement.
