(OTCPK:ASII) signed a letter of intent to acquire Everest Consolidator Acquisition Corporation (OTCPK:EVCO) in a reverse merger transaction on March 21, 2025. The business combination would result in ASII becoming a publicly traded company on Nasdaq. Under the terms of the LOI, ASII shareholders expected to own approximately 70% of the combined entity upon completion. The transaction will not require a reverse stock split of ASIIs common stock, as all currently issued and outstanding stock will be exchanged into EVCO stock once the merger is complete. (OTCPK:ASII) signed a non-binding memorandum of understanding to acquire 75% stake in itsBchain LLC from iQSTEL Inc. (OTCPK:IQST) for $1 million on March 10, 2025. The consideration consists of $0.5 million in ASII preferred shares, ensuring iQSTEL's value remains protected and $0.5 million in ASII common shares, which are expected to be registered in a resale offering filed with the SEC. Additionally, iQSTEL will retain a 1% lifetime royalty on itsBChain's total sales, ensuring continued long-term value from the business. The agreement includes a $0.25 million penalty clause, ensuring ASII's commitment to completing the transaction. This transaction has the full approval of Miguel Scavo, the owner of the remaining 25% stake in itsBChain.
