The agreement comes with put and call options relating to the balance of Teleco Automation’s share capital exercisable in early 2025. Somfy will finance the acquisition using existing cash resources. Somfy SA and Jean Pierre Serigny have acquired Cotherm S.A. Somfy SA and Jean Pierre Serigny have acquired Cotherm S.A. on April 24, 2006. Somfy invested approximately €5.2 million and acquired 65% and Jean-Pierre Serigny acquired 35%. Sellers in the deal were 21 Central Partners (22.58%), Viveris (20%) and BNP Paribas Developpement (13.5%). For the year ended on December 31, 2005, Cotherm reported total revenues of approximately €22 million. Somfy will keep the management headquarters and main plant of Cotherm in Vinay. As a result of the transaction Cotherm will be folded into Somfy with effect as of June 30, 2006.
