What Does SGOCO Group Ltd's (NASDAQ:SGOC) Ownership Structure Look Like?

In this article, I'm going to take a look at SGOCO Group Ltd’s (NASDAQ:SGOC) latest ownership structure, a non-fundamental factor which is important, but remains a less discussed subject among investors. Ownership structure of a company has been found to affect share performance over time. The effect of an active institutional investor with a similar ownership as a passive pension-fund can be vastly different on a company's corporate governance and accountability to shareholders. While this may be more interesting for long-term investors, short-term investors can also benefit by paying attention to when these institutions trade in order to take advantage of the heightened volatility. Therefore, I will take a look at SGOC's shareholders in more detail.

Institutional Ownership

Institutional investors transact in large blocks which can influence the momentum of stock prices, at least in the short-term, especially when there is a low level of public shares available on the market to trade. With hardly any institutional ownership, SGOC stock poses limited concern relating to the effect institutional block trades have on its stock price.

Insider Ownership

Insiders form another group of important ownership types as they manage the company's operations and decide the best use of capital. Insider ownership has been linked to better alignment between management and shareholders. 32.65% ownership of SGOC insiders is large enough to make an impact on shareholder returns. In general, this level of insider ownership has negatively affected underperforming (consistently low PE ratio) companies and positively affected the companies that outperform (consistently high PE ratio). It may be interesting to take a look at what company insiders have been doing with their holdings lately. Insider buying may be a sign of upbeat future expectations, however, selling doesn't necessarily mean the opposite as insiders may be motivated by their personal financial needs.

General Public Ownership

The general public holds a substantial 46.42% stake in SGOC, making it a highly popular stock among retail investors. With this size of ownership, retail investors can collectively play a role in major company policies that affect shareholders returns, including executive remuneration and the appointment of directors. They can also exercise the power to decline an acquisition or merger that may not improve profitability.

Private Company Ownership

Another group of owners that a potential investor in SGOC should consider are private companies, with a stake of 20.78%. While they invest more often due to strategic interests, an investment can also be driven by capital gains through share price appreciation. This kind of ownership, if predominantly strategic, can give these companies a significant power to affect SGOC's business strategy. Thus, potential investors should look into these business relations and check how it can impact long-term shareholder returns.

Next Steps:

Institutional ownership in SGOC is not at a level that would concern investors. We are less likely to see sustained downtrends or significant volatility resulting from large institutional trading. However, ownership structure should not be the only determining factor when you’re building an investment thesis for SGOC. Rather, you should be looking at fundamental drivers such as the intrinsic valuation, which is a key driver of SGOCO Group’s share price. The aggregator argument works when supply is fragmented and interchangeable. Uber's driver-side power comes from millions of individuals with no coordination and no bargaining position. With autonomous fleet, the inverse. It will be a nightmare for Uber,

Car manufactoring and rides are two very different bussinesses. Uber can choose the best car make, that not necesarily would be tesla. Also, most countries and cities are not keen on just letring driverless taxis around... regulations block this for now.

At first glance, this was the strongest earnings season in years. But when you look at where the growth actually came from, the story splits into two very different pictures.
