On May 21, 2021, Relatech announces the closing of the acquisition of 60% of the share capital of Dialog Sistemi S.r.l. This sum will be paid, upon the occurrence of specific conditions precedent, in cash for approximately €0.44 million and through an in-kind component through the sale of a total of no. 73,134 Relatech treasury shares conventionally valued at an amount of €3.20 each. In addition, there is an earn-out component to be determined according to the achievement of certain performance parameters (average Ebitda) of Mediatech in the financial years up to 2022. Sellers have undertaken a specific lock-up commitment in relation to the shares of Relatech S.p.A. issued, for a duration of 12 months from the closing of the transaction. Pursuant to the agreement, reciprocal purchase and sale options (put & call) have been granted aimed at transferring the residual share capital of Mediatech over a medium-term time horizon and respectively from July 1, 2023 and January 2, 2024. In 2019, Mediatech achieved a turnover of approximately €3,600 million and an adjusted EBITDA of approximately €0.60 million.
