Voluntarily DismissedOn July 7, 2025, the U.S. lead plaintiff voluntarily dismissed the class action complaint against Alarum Technologies Ltd. (the “Registrant” or “Alarum”) and certain of its officers (the “U.S. Complaint”). The U.S. Complaint, which had been filed approximately four months earlier in the United States District Court for the District of New Jersey (the “Court”), named as defendants Alarum, its Chief Executive Officer Mr. Shachar Daniel, its Chief Financial Officer Mr. Shai Avnit, and its Chairman Mr. Chen Katz. On July 3, 2025, plaintiffs’ counsel informed the Company’s legal representatives that, after further investigation, they were considering withdrawing the U.S. Complaint. A notice of voluntary dismissal was formally submitted to the Court on July 7, 2025 and approved by the Court on July 8, 2025. Following the voluntary dismissal of the U.S. Complaint, the plaintiffs have not yet indicated whether they intend to renew the proceedings in the Israeli Motion. Voluntarily DismissedOn July 7, 2025, the U.S. lead plaintiff voluntarily dismissed the class action complaint against Alarum Technologies Ltd. (the “Registrant” or “Alarum”) and certain of its officers (the “U.S. Complaint”). The U.S. Complaint, which had been filed approximately four months earlier in the United States District Court for the District of New Jersey (the “Court”), named as defendants Alarum, its Chief Executive Officer Mr. Shachar Daniel, its Chief Financial Officer Mr. Shai Avnit, and its Chairman Mr. Chen Katz. On July 3, 2025, plaintiffs’ counsel informed the Company’s legal representatives that, after further investigation, they were considering withdrawing the U.S. Complaint. A notice of voluntary dismissal was formally submitted to the Court on July 7, 2025 and approved by the Court on July 8, 2025. Following the voluntary dismissal of the U.S. Complaint, the plaintiffs have not yet indicated whether they intend to renew the proceedings in the Israeli Motion. As previously reported in the Report on Form 6-K of the Registrant furnished with the Securities and Exchange Commission on February 18, 2025, the U.S. Complaint raised allegations of a similar nature to those asserted in a motion to certify a claim as a class action (the “Israeli Motion”) filed on February 16, 2025, in the Economic Department of the District Court in Tel Aviv, Israel, against the Registrant, Mr. Daniel, and Mr. Avnit. In light of the filing of the U.S. Complaint, the proceedings in the Israeli Motion were previously stayed pending resolution of the U.S. matter.

(Nasdaq: SFET) (TASE: SFET), (“Safe-T” or “the Company”), a global provider of cybersecurity and privacy solutions to consumers and enterprises, announced that it has it received a notification letter from Nasdaq Stock Market LLC that the Company has been granted an additional 180-day compliance period, or until January 9, 2023 to regain compliance with Nasdaq’s minimum bid price rule. In a notification letter dated January 12, 2022, Nasdaq had informed the Company that, based on the previous 30 consecutive business days, the Company’s ADSs no longer met the minimum $1 bid price per share requirement. Therefore, in accordance with Nasdaq’s Listing Rules, the Company was provided 180 calendar days, or until July 11, 2022, to regain compliance. If at any time before January 9, 2023, the closing bid price of the Company’s ADSs is at least $1.00 per share for a minimum of 10 consecutive business days, the Company will regain compliance with this Nasdaq rule and this matter will be closed. This current notification from Nasdaq has no immediate effect on the listing or trading of the Company’s ADSs, which will continue to trade on the Nasdaq Capital Market under the symbol “SFET”. The Company intends to monitor the closing bid price of its ADSs between now and January 9, 2023, and intends to consider available options to cure the deficiency and regain compliance with the minimum bid price requirement within the second compliance period.
