Nam Tai Property announces court order freezing bank accounts of Kaisa Group allies

Nam Tai Property (NYSE:NTP) said Thursday the Shenzhen Qianhai Cooperation Zone People's Court granted its unit's request to freeze bank accounts and assets of Wang Jiabiao and Zhang Yu, who were terminated by NTP's board in Q4 2021. This follows the court's recent order prohibiting Wang and Zhang from using the corporate chops and business licenses of NTP's unit Nam Tai Investment (Shenzhen) during ongoing litigation. Wang and Zhang, who are affiliates of Kaisa Group (OTCPK:KKPFF) and spent the last several months purporting to represent Nam Tai Investment, are restricted from dissipating assets of Nam Tai Investment and entering into new corporate arrangements on behalf of the unit. "Our plan is to continue aggressively pursuing claims against Wang, Zhang and Kaisa, while also engaging in good faith discussions with policymakers to demonstrate our commitment to making long-term investments across mainland China," said NTP chairman Michael Cricenti. Earlier this year, Wang blocked an orderly handover of business assets in China, refusing to acknowledge his formal termination.

Nam Tai Property: NYSE Trading Suspension Adds Insult To Injury For Equityholders

Discussing recent events at troubled Shenzhen-based real estate developer. Hong Kong-based Oasis Management acquired the majority of the former Kaisa Group stake from Deutsche Bank. The New York Stock Exchange halted trading of the company's shares indefinitely due to regulatory concerns about the company’s lack of direct control over its chops. Participants in the $170 million October 2020 capital raise initiated court proceedings to demand repayment but the vast majority of the proceeds remain entangled in a Greensill-linked supply chain fund. Former CEO Wang Jiabiao has filed a claim challenging the resolutions removing him from positions at the company and its onshore subsidiaries, thus further obstructing the new board's attempt to gain control of Nam Tai. Given the complex issues involved here, it is difficult to envision a near-term, amicable solution, so investors better prepare for protracted litigation and the NYSE trading halt not being lifted anytime soon.

Nam Tai Property - Issues Are Mounting At Shenzhen-Based Property Developer

After a successful activist investor campaign, former management refuses to relinquish control of the Shenzhen-based real estate developer. As a result, the new board was required to secure up to $40 million in emergency capital from large, U.S.-based shareholders including activist investor IsZo Capital Management. Deutsche Bank recently foreclosed on Kaisa Group's 23.9% stake in the company. A potential liquidation into the open market would likely put further pressure on the share price. With both the Chinese real estate market and Nam Tai currently in turmoil, determining a fair value appears to be pure guesswork. Recent disclosures have added further, substantial risk to the Nam Tai story. Investors should remain on the sidelines and wait for the overhang to lift.
