High Tide to acquire Jimmy's Cannabis Shop BC for $5.3M

High Tide (NASDAQ:HITI) agrees to acquire 100% of the equity interest of 1171882 B.C. Ltd., operating as Jimmy's Cannabis Shop BC, as well as assignments of the vendors' shareholder loans, resulting in High Tide's acquisition of two of the five retail cannabis stores currently operated by Jimmy's in British Columbia for $5.3M. The move will bring the company's footprint in British Columbia to five stores. The Stores are located at 1225 Cranbrook Street North, Cranbrook and 1543 Victoria Street, Prince George. The consideration for the 100% of equity interest acquired will be $5M and $300K for the assignment of $300K of the vendors' shareholder loans, all paid in common shares of High Tide on the basis of a deemed price per High Tide Share equal to the 10-day volume weighted average price on the Nasdaq Stock Exchange. From the consideration, an amount equal to $3.7M will be subject to a contractual hold period of four months and one day from the date of closing.  The purchase price represents 5.25x annualized Adjusted EBITDA for the trailing four months ended May 31, 2022.

Same-store Sales Increased by 46% Compared to the Same Quarter Last Year and 18% Sequentially Reports 77% Sequential Increase in Adjusted EBITDA to $4.2 Million Current Annual Revenue Run Rate of Over $400 Million and Is Now Within Striking Distance of Having the Highest Revenue of Any Cannabis Company Reporting in Canadian Dollars Cash on hand as of July 31, 2022, totalled $18.3 million compared to $14.0 million as of October 31, 2021. Outlook: High Tide continues to be the largest non-franchised cannabis bricks-and-mortar retail chain in Canada, with 140 locations across the country and expects to reach its target of 150 by the end of the calendar year. The Company’s launch of its innovative discount club model near the end of the fourth fiscal quarter of 2021 has driven remarkable same-store sales increases. These gains have been magnified by organic store openings and M&A activity leading to a sustained upward trend in its market share across the country. The Company currently has three stores in the province of British Columbia, and a clear path to reach eight, the maximum allowable today by any one entity, in the near term, via both organic openings as well as accretive M&A. As previously stated, the Company is currently on an annual revenue run rate exceeding $400 million which puts it within striking distance of being the top revenue-generating cannabis company which reports in Canadian dollars. Canna Cabana possesses the largest loyalty program in Canadian cannabis with over 750,000 members, which represents over 90% of daily transactions. High Tide gets access to C$19M credit facility

Canadian cannabis retailer High Tide Inc. (NASDAQ:HITI) announced Thursday an agreement with Connect First Credit Union Ltd. in Canada to obtain a C$19M of credit line for an initial five-year term. Per the binding commitment letter, the debt will be available at connectFirst's floor interest rate with terms including a debt service coverage ratio of not less than 1.40:1 and a monthly current ratio covenant of not less than 1.25:1. The company expects to use the proceeds from the credit facility on organic growth, general working capital, and potential M&A activities. Welcoming the agreement, Raj Grover, Chief Executive of High Tide (HITI), remarked: "I remain as confident as ever in High Tide's growth trajectory in Canada, the United States, and newly-emerging international markets." HITI expects to close on the debt facility during the first half of September, subject to certain conditions. The agreement follows a C$5M subordinated debt financing the company secured several weeks ago.

High Tide undertakes control of Three Kushbar locations in Alberta

High Tide (NASDAQ:HITI) seized the shares of Halo Kushbar Retail, which owns three operating cannabis retail stores in Alberta. Kushbar Stores was sold to Halo Collective for $5.7M from which $3.9M was already paid; partial consideration received from Halo was a convertible promissory note in the principal amount of $1.8M. High Tide expects full ownership of Kushbar to be acquired in early August 2022. The Kushbar Stores are on an annual revenue run rate of $3.25M for the three months ended June 2022 which marks a 10% growth from previous quarter. High Tide granted 21K stock options to employees post its fixed 20% equity incentive omnibus plan.

High Tide (NASDAQ:HITI) announced Monday a bought deal offering of C$10M with a syndicate of underwriters led by Echelon Wealth Partners. That includes the issue of 4.31M units at price of C$2.32 per unit. Each unit comprises of 1 common share and 1 of share purchase warrant, exercisable as a whole at an exercise price of C$2.73 per warrant within 60-months expiry. High Tide to acquire 9 retail cannabis stores from Choom for C$5.1M

High Tide (NASDAQ:HITI) is acquiring nine operating retail cannabis stores from Choom (OTCQB:CHOOF) and its subsidiaries in a stock transaction worth C$5.1M. High Tide said it will enter the British Columbia market by acquiring two stores in the region. Six stores are in Alberta while one is in Ontario which are being acquired. High Tide noted that it emerged as a preferred partner for store acquisitions through Companies' Creditors Arrangement Act (CCAA) Proceedings. "While Choom had 17 operational stores before entering CCAA proceedings, we are able to acquire the nine locations that we want across three provinces at an attractive price of 3.8x annualized Adjusted EBITDA," said High Tide President and CEO Raj Grover. High Tide added that after closing of the acquisition it will have 136 stores nationwide. High Tide said the C$5.1M will be satisfied through issuance of its common shares at closing of the transaction. The transaction is expected to close in the coming weeks, subject to approvals from court, TSX Venture Exchange, and the respective provinces.
