Possible Bearish Signals With Cytokinetics Insiders Disposing Stock

The fact that multiple Cytokinetics, Incorporated (NASDAQ:CYTK) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

Cytokinetics Insider Transactions Over The Last Year

The CEO, President & Director, Robert Blum, made the biggest insider sale in the last 12 months. That single transaction was for US$1.2m worth of shares at a price of US$52.60 each. That means that an insider was selling shares at slightly below the current price (US$53.81). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 7.1% of Robert Blum's holding.

In the last year Cytokinetics insiders didn't buy any company stock. The chart below shows insider transactions (by companies and individuals) over the last year. By clicking on the graph below, you can see the precise details of each insider transaction!

Cytokinetics Insiders Are Selling The Stock

The last three months saw significant insider selling at Cytokinetics. Specifically, Executive Vice President of Research & Development Fady Malik ditched US$779k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that Cytokinetics insiders own 0.5% of the company, worth about US$31m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

What Might The Insider Transactions At Cytokinetics Tell Us?

An insider sold stock recently, but they haven't been buying. And even if we look at the last year, we didn't see any purchases. While insiders do own shares, they don't own a heap, and they have been selling. We'd practice some caution before buying!
