MDWerks, Inc. Announces Board Changes MDWerks, Inc. announced that Edward D. Kratovil, a member of the Board of Directors, notified the Company of his intention to retire from the Board of Directors effective immediately due to health-related reasons. Pursuant to the anticipated vacancy created by Mr. Kratovil's forthcoming resignation, on February 11, 2026, the Board of Directors appointed Roy Milner to serve as an independent director of the Company, as defined under the applicable SEC rules and Nasdaq listing standards. Roy Milner brings to MDWerks more than twenty-five years of executive leadership experience in the beverage industry, including deep expertise in go-to-market strategy, sales, marketing, distribution, brand management and financial oversight at both Fortune 500 organizations and entrepreneurial startups. Mr. Milner is Co-Founder of The Difference Business Bourbon, a premium bourbon brand; Partner and Co-Founder of Art of Alchemy Spirits, a craft spirits company specializing in premium blended whiskeys; Partner at Cask Catalyst, an investment and advisory accelerator focused on emerging beverage brands; Founder of Thirst Sherpa, LLC, a beverage industry consultancy; and Co-Founder of Nighthawks Bourbon, a premium bourbon venture in partnership with Napa Valley winemaker Jamey Whetstone. Earlier in his career, Mr. Milner served as Founding Partner and Chief Fermentation Officer at Blackberry Farm Brewery; Regional Manager at Red Bull North America; and Territory Manager at Boston Beer Company (Samuel Adams). MDwerks, Inc. to Deliver Molecular Sawdust Drying System to Leading U.S. Lumber Company MDWerks, Inc. announced that the Company is scheduled to deliver its first Molecular Sawdust Drying System to one of the leading sawmills and lumber producers in the United States in August 2025. The Company's subsidiary, RFS Specialties, LLC designed, built and tested the MSDS unit, which utilizes proprietary molecular energy wave technology to uniformly, efficiently and cost-effectively adjust the moisture content of saw dust for production of wood pellets, an alternative green energy source. In addition to upfront sales proceeds, RFS will receive ongoing ancillary fees for servicing and maintaining the MSDS unit. MDWerks, Inc. Appoints David Stephens as Chief Financial Officer MDWerks, Inc. announced the appointment of David Stephens as the Companys Chief Financial Officer, effective March 1, 2025. Mr. Stephens brings to MDWerks nearly two decades of financial reporting and accounting experience across a range of private and public companies, with expertise in preparing U.S. Securities and Exchange Commission (SEC) filings, assembling financial statements in accordance with U.S. GAAP, navigating the initial public offering and registration statement process, improving internal controls and reporting, implementing financial software platforms, coordinating audits, and resolving complex accounting and reporting issues. Most recently, Mr. Stephens has served as Director of Accounting for Fresh Notion Financial Services, leading a team of accountants in the provision of consulting, accounting, and financial reporting services. Over the past twelve months, he has provided those services to MDWerks and has been instrumental in managing the financial aspects of the Company to date. Prior to Fresh Notion Financial Services, Mr. Stephens served as Manager of Financial Reporting and Technical Accounting Manager at Nexeo Solutions. At the start of his career, he held various financial reporting and accounting roles with Geokinetics Inc., LBB &Associates Ltd., LLP, and UHY, LLP. Mr. Stephens graduated from the University of Houston, where he earned his Bachelor of Business Administration in Accounting and Master of Science in Accounting. Announces the Appointment of Richard Blackstone as Independent Director MDWerks, Inc. announced the expansion of the Company’s Board of Directors to five members with the appointment of Richard Blackstone, an accomplished music industry veteran, as a new independent director, effective December 3, 2024. Mr. Blackstone currently serves as Chief Executive Officer of Blackstone Entertainment, Inc., which he founded in 2008 to nurture the careers of music artists and songwriters. In parallel, from 2016 to 2019, he served as Board Member and Chief Executive Officer of Avex Inc., where he planned and launched the Japanese entertainment company’s global expansion. Announces the Appointment of Tim Brocopp as Independent Director MDWerks, Inc. announced the expansion of the Company’s Board of Directors (the “Board”) to four members with the appointment of Tim Brocopp, a seasoned beverage distribution industry executive, as a new independent director, effective November 18, 2024. Mr. Brocopp began his career in the management and training program at Hensley Beverage Company, a prominent beverage distributor in Arizona. He then joined Intermountain Distributing Company, a leading regional beverage distributor, where he held various sales and management positions before assuming the role of President and CEO. Mr. Glackin brings to MDWerks more than four decades of experience building winning products and services, de-risking business models, and protecting business investments through strong patent portfolios, brand building and strategic partnerships. Over the past ten years, Mr. Glackin has held the role of Co-Founder and Chair of the Board at the Hatch Innovation Hub, Associate Director at Change Logic innovation consulting, and Founder and Lead Guide at Business Innovation Guides, LLC. As a leader at each of these organizations, he has mentored and advised a wide range of CEOs and senior executives, and helped businesses of all sizes innovate, scale, grow, manage risks, and succeed.
