It is not uncommon to see companies perform well in the years after insiders buy shares. Unfortunately, there are also plenty of examples of share prices declining precipitously after insiders have sold shares. So we'll take a look at whether insiders have been buying or selling shares in Drive Shack Inc. (NYSE:DS).

Do Insider Transactions Matter?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, rules govern insider transactions, and certain disclosures are required.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

Drive Shack Insider Transactions Over The Last Year

In the last twelve months, the biggest single purchase by an insider was when Chairman Wesley Edens bought US$2.6m worth of shares at a price of US$1.62 per share. Although we like to see insider buying, we note that this large purchase was at significantly below the recent price of US$2.73. While it does suggest insiders consider the stock undervalued at lower prices, this transaction doesn't tell us much about what they think of current prices.

Happily, we note that in the last year insiders paid US$2.7m for 1.77m shares. But they sold 19.59k shares for US$25k. In total, Drive Shack insiders bought more than they sold over the last year. Insider Ownership of Drive Shack

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Drive Shack insiders own about US$26m worth of shares. That equates to 10% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
