Tuniu Corporation's (NASDAQ:TOUR) market cap surged US$15m last week, private companies who have a lot riding on the company were rewarded

Every investor in Tuniu Corporation (NASDAQ:TOUR) should be aware of the most powerful shareholder groups. With 30% stake, private companies possess the maximum shares in the company. In other words, the group stands to gain the most (or lose the most) from their investment into the company.

As a result, private companies collectively scored the highest last week as the company hit US$109m market cap following a 16% gain in the stock.

What Does The Institutional Ownership Tell Us About Tuniu?

Institutions typically measure themselves against a benchmark when reporting to their own investors, so they often become more enthusiastic about a stock once it's included in a major index. We would expect most companies to have some institutions on the register, especially if they are growing.

As you can see, institutional investors have a fair amount of stake in Tuniu. This suggests some credibility amongst professional investors. But we can't rely on that fact alone since institutions make bad investments sometimes, just like everyone does. When multiple institutions own a stock, there's always a risk that they are in a 'crowded trade'. When such a trade goes wrong, multiple parties may compete to sell stock fast. Tuniu is not owned by hedge funds. The company's largest shareholder is BHR Winwood Investment Management Ltd, with ownership of 24%. JD.com, Inc. is the second largest shareholder owning 18% of common stock, and DCM Ventures Inc. holds about 7.0% of the company stock. Furthermore, CEO Dunde Yu is the owner of 3.8% of the company's shares.

On looking further, we found that 54% of the shares are owned by the top 4 shareholders. In other words, these shareholders have a meaningful say in the decisions of the company.

While studying institutional ownership for a company can add value to your research, it is also a good practice to research analyst recommendations to get a deeper understand of a stock's expected performance. As far as we can tell there isn't analyst coverage of the company, so it is probably flying under the radar.

Insider Ownership Of Tuniu

While the precise definition of an insider can be subjective, almost everyone considers board members to be insiders. Company management run the business, but the CEO will answer to the board, even if he or she is a member of it.

I generally consider insider ownership to be a good thing. However, on some occasions it makes it more difficult for other shareholders to hold the board accountable for decisions.

We can report that insiders do own shares in Tuniu Corporation. It has a market capitalization of just US$109m, and insiders have US$4.2m worth of shares, in their own names. It is good to see some investment by insiders, but we usually like to see higher insider holdings. It might be worth checking if those insiders have been buying.

With a 21% ownership, the general public, mostly comprising of individual investors, have some degree of sway over Tuniu. While this group can't necessarily call the shots, it can certainly have a real influence on how the company is run.

Sometimes we see private equity stick around for the long term, but generally speaking they have a shorter investment horizon and -- as the name suggests -- don't invest in public companies much. After some time they may look to sell and redeploy capital elsewhere.
