We’ve lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So we’ll take a look at whether insiders have been buying or selling shares in CRA International, Inc. (NASDAQ:CRAI).

What Is Insider Selling?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, such insiders must disclose their trading activities, and not trade on inside information.

We don’t think shareholders should simply follow insider transactions. But logic dictates you should pay some attention to whether insiders are buying or selling shares. As Peter Lynch said, ‘insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.’

The Last 12 Months Of Insider Transactions At CRA International

In the last twelve months, the biggest single sale by an insider was when the President, Paul Maleh, sold US$1.2m worth of shares at a price of US$50.32 per share. We generally don’t like to see insider selling, but the lower the sale price, the more it concerns us. It’s of some comfort that this sale was conducted at a price well above the current share price, which is US$37.47. So it may not shed much light on insider confidence at current levels.

Over the last year, we note insiders sold 45000 shares worth US$2.2m. Insiders in CRA International didn’t buy any shares in the last year. Insider Ownership

Many investors like to check how much of a company is owned by insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. CRA International insiders own about US$10m worth of shares. That equates to 3.4% of the company. We’ve certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
