How Many TransDigm Group Incorporated (NYSE:TDG) Shares Did Insiders Buy, In The Last Year?
We often see insiders buying up shares in companies that perform well over the long term. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So shareholders might well want to know whether insiders have been buying or selling shares in TransDigm Group Incorporated (NYSE:TDG).
Do Insider Transactions Matter?
It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, most countries require that the company discloses such transactions to the market.
We don't think shareholders should simply follow insider transactions. But logic dictates you should pay some attention to whether insiders are buying or selling shares. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year'.

The Last 12 Months Of Insider Transactions At TransDigm Group
The Independent Director Sean Hennessy made the biggest insider purchase in the last 12 months. That single transaction was for US$693k worth of shares at a price of US$346 each. Even though the purchase was made at a significantly lower price than the recent price (US$512), we still think insider buying is a positive. Because it occurred at a lower valuation, it doesn't tell us much about whether insiders might find today's price attractive.
While TransDigm Group insiders bought shares during the last year, they didn't sell. Their average price was about US$409. It is certainly positive to see that insiders have invested their own money in the company. However, we do note that they were buying at significantly lower prices than today's share price. Insider Ownership of TransDigm Group
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that TransDigm Group insiders own 1.0% of the company, worth about US$278m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
