Brighthouse Reportedly Seeks Buyer for Whole Company or Minority Stake Brighthouse Financial, Inc. (NasdaqGS: BHF) is seeking to sell itself, with some of the most prominent private capital managers expected to make bids for the US provider of life insurance and annuities. US-listed Brighthouse, which was spun out of MetLife in 2017, is working with bankers at Goldman Sachs and Wells Fargo to both consider offers for the whole company or separately to raise minority equity, said two people familiar with the matter. They cautioned that the process was in its early stages with no certainty that a deal materialises. Shares in Brighthouse rose 20% in trading in the US on January 28, 2025 morning after the Financial Times revealed the plan. The company, which has a market value of $3 billion, trades at just 0.8 times book value per share as it has struggled to increase profits needed to reach its targeted capital ratios. Brighthouse’s focus on variable annuities, a complex product that is expensive to hedge and carries high capital charges, has discouraged some bidders, according to people familiar with the talks. Brighthouse Financial, Inc Introduces Enhancements to Brighthouse SmartCare Brighthouse Financial, Inc. announced that it has introduced new enhancements to Brighthouse SmartCare, its life insurance product. Brighthouse SmartCare is a hybrid life insurance product that provides a guaranteed death benefit while helping to protect clients from the costs of long-term care (LTC) through guaranteed LTC benefits. The enhancements include a 3% Compound option, which offers clients the ability to grow their LTC benefit amounts at a guaranteed fixed rate of 3% compounded annually. This new option expands the LTC coverage options that clients can choose from, giving them even more flexibility to customize their policy to fit their needs. The 3% Compound option is now one of two Fixed Growth LTC coverage options, which include the existing ability to grow LTC benefits at a guaranteed fixed rate of 5% compounded annually. Brighthouse SmartCare also continues to offer an Indexed LTC coverage option, under which LTC benefit amounts have the potential to increase by linking the policy to the performance of major market indices, and a Level option, under which LTC benefit amounts remain the same over the duration of the policy. In addition to the 3% Compound option, Brighthouse Financial has introduced two new riders to Brighthouse SmartCare that will be issued with new policies at no additional charge: the Return of Premium Surrender Benefit Rider and the Return of Premium Death Benefit Rider. With the Return of Premium Surrender Benefit Rider, the amount paid upon surrender of a policy will never be less than 75% of premiums paid, up to the sum of all premiums due, with reduction for policy loans and any LTC benefit payments. With the Return of Premium Death Benefit Rider, the amount paid upon death will never be less than 100% of premiums paid, with reduction for policy loans and any LTC benefit payments. Brighthouse Financial, Inc. Expands Shield Level Annuity Suite with New Product That Provides Guaranteed Lifetime Income Brighthouse Financial, Inc. announced the expansion of its Brighthouse Shield® Level Annuities suite with the launch of Brighthouse Shield Level Pay PlusSM Annuities, which are designed to help strengthen clients’ retirement portfolios by providing a stream of guaranteed lifetime income.1,2 Shield Level Pay Plus annuities also offer clients opportunities to participate in market growth combined with a level of protection against market volatility — both key design features of Shield® Level annuities. According to the Social Security Administration, about one in three 65-year-olds will live to at least age 90 and about one in seven 65-year-olds will live to at least age 95. Not surprisingly, many investors express strong interest in annuities that provide guaranteed lifetime income. A recent study4 from the Alliance for Lifetime Income, in partnership with CANNEX, found a significant majority (85%) of investors are interested in owning an annuity that guarantees lifetime income or already own one. Shield Level Pay Plus annuities are index-linked annuities, which are a type of annuity that allows clients to participate in growth opportunities up to a certain percentage by tracking the performance of one or more market indices, rather than investing directly in the markets, while providing a level of protection in down markets. Other key features of Shield Level Pay Plus annuities include: Two versions of an income rider Clients have the flexibility to choose between two versions of a built-in income rider,5 depending on their specific risk tolerance and income needs. Both versions of the rider use a Benefit Base6 which is multiplied by the applicable withdrawal rate to determine the stream of lifetime income. The choice of two versions of the rider means clients can decide how they want their Benefit Base, which initially equals the purchase payment, to build value. The Benefit Base cannot go down because of market losses, but it can grow. For clients who want to participate in the growth opportunities equities can provide, the Market Growth version of the income rider offers the potential to build benefit amounts faster than some other guaranteed income products. For clients who prefer the comfort and reliability of guaranteed growth of the Benefit Base, no matter the market conditions, the Market Growth with Rollup version of the income rider can be a valuable portfolio addition. Lower fee The features of a Shield Level Pay Plus annuity are provided in a way that will not heavily impact a client’s portfolio because of higher fees and costs. With no base contract fees, clients pay an annual charge of 1.50%,8 which is a lower fee than some traditional variable annuities that have an income rider – and can help clients keep more of their money working for them. Flexibility to suit individual needs and goals Shield Level Pay Plus annuities continue Brighthouse Financial’s history of building flexibility into each of its products to suit clients’ individual needs and goals.
