Tallink Grupp Announces Total Dividend in Two Installments for the Year 2026, Payable on 1 July 2026 and 24 November 2026 Respectively AS Tallink Grupp resolved to pay the shareholders dividends of 0.06 euros per share; to pay 0.03 euros per share to the shareholders who are included in the list of shareholders fixed on 18 June 2026 as at the end of the business day of Nasdaq CSD Estonia settlement system. Consequently, the day of change of the rights related to the shares (ex-date) is set to 17 June 2026. AS Tallink Grupp Announces Board Changes AS Tallink Grupp has elected Peep Jalakas as the new Chairman of the Management Board. The term of office of Mr. Jalakas will commence on April 6, 2026 and will last for three years. Peep Jalakas joined SEB Bank in 2006 and has held several senior management positions since 2010, including serving as Head of Corporate Banking and Head of Credit. Since 2023, he has been a Member of the Management Board of SEB Bank and Head of Corporate Banking. In addition, the Supervisory Board has resolved to recall Margus Schults from the Management Board with effect from February 27, 2026. He will continue in his role as Managing Director of Tallink Silja Oy. The current Chairman of the Management Board, Paavo Nõgene, will continue as a member of the Management Board of the Group until the expiry of his term of office on 23 May 2026. Infortar AS (TLSE:INF1T) intended to make a voluntary takeover offer to acquire remaining 53.26% stake in AS Tallink Grupp (TLSE:TAL1T) from Baltic Cruises Holding, L.P., Baltic Cruises Investment L.P., Citigroup Venture Capital International Investment GP Limited, Luksusjaht AS, Mersok OÜ, and Clearstream Banking AG for approximately €217 million. Infortar AS (TLSE:INF1T) intended to make a voluntary takeover offer to acquire remaining 53.26% stake in AS Tallink Grupp (TLSE:TAL1T) from Baltic Cruises Holding, L.P., Baltic Cruises Investment L.P., Citigroup Venture Capital International Investment GP Limited, Luksusjaht AS, Mersok OÜ, and Clearstream Banking AG for approximately €217 million on June 17, 2024. The Offeror makes the Offer with the price of €0.55 per one Tallink share. Upon completion, Infortar AS will own 100% stake in AS Tallink Grupp. The Offer takes place as a voluntary takeover offer and the Offeror is not obliged to conduct the Offer under § 166 of the Estonian Securities Market Act. In accordance, the Offeror shall submit the Prospectus and the Offer notice to the Estonian Financial Supervision and Resolution Authority (“ EFSA ”) for approval. The Prospectus and Offer notice shall be published at a date determined by EFSA after their approval, however, the Offeror intends to start the Offer in the beginning of July 2024 and the Offer is intended to last for 35 days. Infortar AS (TLSE:INF1T) acquired an additional 3.5% stake in AS Tallink Grupp (TLSE:TAL1T) for €16.7 million. Infortar AS (TLSE:INF1T) acquired an additional 3.5% stake in AS Tallink Grupp (TLSE:TAL1T) for €16.7 million on May 14, 2024. As part of acquisition, 26,030,390 shares were acquired for €0.64 per share. Infortar now owns 46.74% stake in AS Tallink.

AS Tallink Grupp Approves Dividend for the Financial Year 2023, Payable on July 03, 2024 AS Tallink Grupp held its Annual General Meeting of Shareholders on 7 May 2024, approved to pay dividends to the shareholders EUR 0.06 per share, in the total amount of EUR 44,614,143.84. The list of the shareholders entitled to the dividend shall be fixed as at June 20, 2024 at the end of the working day of the settlement system of Nasdaq CSD Estonia. AS Tallink Grupp Announces Changes in Management Board AS Tallink Grupp'S Supervisory Board has appointed Ms Elise Nassar as a Member of the Management Board and has recalled from the Management Board Mrs. Kadri Land following her resignation. The mandate of Mrs. Kadri Land ends on 6 March 2024 and the mandate of Ms Elise Nassar commences on 6 March 2024 and lasts for three years. Ms Elise Nassar joined Tallink Grupp in February 2018 as a Data Protection Officer, but already a year later, in 2019 she was appointed to head the group’s internal audit department and since the summer of 2022, Ms Nassar holds the position of held the position of Group Head of Legal and Head of the Internal Audit and Internal Control Departments. Prior to joining Tallink Grupp, Ms Nassar worked as a lawyer at AS Ekspress Grupp, the largest media group in the Baltic States. Ms Nassar holds a bachelor’s degree in law from the University of Tartu. Ms Nassar is a Management Board Member of Justit OÜ, a Supervisory Board Member of AS Tallink Latvija, a Member of the Board of Director of the European Community Shipowners’ Associations and the President of the Estonian Shipowners’ Association.
