ADVFN Plc (OTCPK:AVFC.F) entered into a binding share purchase agreement to acquire Capital markets businesses from Gumtree Australia Markets Limited (ASX:GUM). ADVFN Plc (OTCPK:AVFC.F) entered into a binding share purchase agreement to acquire Capital markets businesses from Gumtree Australia Markets Limited (ASX:GUM) on June 30, 2025. The consideration consists of AUD 6.8 million enterprise value (on a cash-free debt-free basis), payable upfront in cash, repayment of outstanding shareholder loans totaling AUD 2.8 million, repayment of AUD 0.75 million towards the Gumtree Australia Markets Limited's outstanding CBA facility, AUD 1.3 million loan with Royal Bank of Canada to be transferred to ADVFN Plc. The transaction will generate AUD 2.0 million in cash (before transaction costs) and reduces Group's overall debt by AUD 4.8 million. John O'Loghlen is currently Managing Director of APC at Coinbase.
