It is not uncommon to see companies perform well in the years after insiders buy shares. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So before you buy or sell Knosys Limited (ASX:KNO), you may well want to know whether insiders have been buying or selling.
Do Insider Transactions Matter?
It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, most countries require that the company discloses such transactions to the market.
We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

Knosys Insider Transactions Over The Last Year
The insider, Gavin Campion, made the biggest insider sale in the last 12 months. That single transaction was for AU$1.6m worth of shares at a price of AU$0.15 each. That means that an insider was selling shares at around the current price of AU$0.15. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).
In the last year Knosys insiders didn't buy any company stock. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. Knosys Insiders Are Selling The Stock
The last three months saw significant insider selling at Knosys. In total, insider Gavin Campion sold AU$1.6m worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.
Does Knosys Boast High Insider Ownership?
Many investors like to check how much of a company is owned by insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Knosys insiders own 42% of the company, currently worth about AU$9.3m based on the recent share price. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
So What Do The Knosys Insider Transactions Indicate?
An insider hasn't bought Knosys stock in the last three months, but there was some selling. And even if we look at the last year, we didn't see any purchases. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Knosys.
