Insiders Find Solace Selling AU$5.6m In Stock With Astron's Price Down 29%
Insiders at Astron Corporation Limited (ASX:ATR) sold AU$5.6m worth of stock at an average price of AU$0.40 a share over the past year, making the most of their investment. After the stock price dropped 29% last week, the company's market value declined by AU$42m, but insiders were able to mitigate their losses.
Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.
Astron Insider Transactions Over The Last Year
The MD, CEO & Executive Director, Tiger Brown, made the biggest insider sale in the last 12 months. That single transaction was for AU$4.3m worth of shares at a price of AU$0.66 each. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is AU$0.49. So it is hard to draw any strong conclusion from it.

Insider Ownership
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that Astron insiders own 138% of the company, worth about AU$142m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
So What Does This Data Suggest About Astron Insiders?
It doesn't really mean much that no insider has traded Astron shares in the last quarter. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Astron insider transactions don't fill us with confidence. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. Every company has risks, and we've spotted 3 warning signs for Astron (of which 1 is concerning!) you should know about.
