Smart Parking Limited Appoints Simon Jones as Independent Non-Executive Director, Effective July 1, 2026 Smart Parking Limited announced that Simon Jones has been appointed to the Company's Board as an independent non-executive director with effect from 1 July 2026. As an additional appointment to the Board, Simon's appointment will cease at the end of the Company's next Annual General Meeting which is expected to be held in November 2026. Simon will be eligible, and currently intends to stand, for re-election as a director at that meeting. Simon's experience spans a large number of private and public enterprises. His skills focus on general strategic advice, mergers, acquisitions and divestments, transaction structuring, valuations and due diligence. He has advised across many industries but has particular knowledge and expertise in the media, professional services, information technology, healthcare and food and beverage sectors. Simon is a founding director of Canterbury Partners, Chairman of Farleigh Holdings Pty Ltd. and the advisory board of MAB Ltd, and Lead Independent Director of the Trawalla Group. Simon has previously been Chairman of both Computershare Ltd. and Melbourne IT Ltd. Simon is a qualified chartered accountant and has been advising local and multinational companies for more than 30 years. He was previously Managing Director of NM Rothschild & Sons (Australia) Melbourne operations and its national private equity business and Managing Partner of Arthur Andersen's Audit & Business Advisory practice in Australasia. Smart Parking Limited (ASX:SPZ) completed the acquisition of Peak Parking LP. Smart Parking Limited (ASX:SPZ) entered into a binding agreement to acquire Peak Parking LP for $36 million on February 17, 2025. A cash consideration of $32 million (payable $26.0m in cash and $6.0m in SPZ scrip), with a sliding scale earnout capped at $4 million based on Peak Parking achieving CY25 EBITDA of $4.5 million (paid in SPZ scrip). The acquisition is to be funded by an institutional placement of AUD 32.2 million and a pro-rata accelerated non-renounceable entitlement offer of AUD 12.8 million to raise gross proceeds of AUD 45 million, fully underwritten by Canaccord Genuity. Acquisition funding will also include the partial use of Smart Parking's expanded $10 million revolving credit facility with HSBC After the transaction is completed Will Spielhagen the founder and former Managing Partner of Peak Parking LP will remain on as the Smart Parking USA Managing Director.
The transaction is expected to complete in March 2025, subject to the satisfaction of certain conditions.
