Premier Air Charter Holdings Inc. Receives Federal Aviation Administration Approval to Operate 10 or More Passenger Charter Flights Premier Air Charter Holdings Inc. received approval from the Federal Aviation Administration (FAA) to charter flights that allow for 10 or more passengers. This approval represents a significant advancement in the Company’s operational capabilities and growth strategy. With the expanded capacity allowance, Premier plans to introduce two additional aircraft into service and also upgrade passenger capacity on a further 2 aircraft which are currently in service, consisting of two Bombardier Challenger jets and two Gulfstream G4 jets, beginning in July 2026. This approval allows the Company to proceed with the upgrades and the addition of the two Gulfstream aircraft. The rollout plan includes reconfiguring 1 Challenger 601 and 1 Challenger 604 from 9 seats to 12, which can be added to the Company’s operating certificate within 2 to 4 weeks, allowing for rapid deployment into revenue service. Premier Air Charter Holdings Inc. Appoints Gregory Johnson as Independent Director, Effective February 19, 2026 Premier Air Charter Holdings Inc. appointed Gregory Johnson as an independent director of the Company, effective February 19, 2026. Gregory Johnson is a seasoned private aviation and fintech executive with more than 20 years of experience building, scaling, and exiting aviation-technology platforms. He is the Founder and Chief Executive Officer of Tuvoli (since October 2019), a fintech-enabled payments and marketplace infrastructure platform for the private air charter industry. Prior roles include Chief Technology Officer of Flexjet (2017–2020), Principal of Business Aviation Technology (2010–2017), Chief Operating Officer of FlightCar (2013–2015), and President and CEO of OneSky Jets (2003–2010), which achieved triple-digit revenue growth and was merged into Sentient Jet. Mr. Johnson also serves on the Advisory Board of Embry-Riddle Aeronautical University's Center for Entrepreneurship. He brings deep expertise in aviation fintech, payments infrastructure, intelligent pricing systems, regulatory navigation, and marketplace technology directly relevant to the Company's air charter operations. Mr. Johnson qualifies as an independent director under applicable SEC rules and, for reference, Nasdaq Listing Rules.
