ContextLogic Holdings Inc. (OTCPK:LOGC) entered into a definitive agreement to acquire Gaylord Chemical Company, LLC from EagleTree Partners IV fund sponsored by EagleTree Capital, LP and their co-investor for $850 million. ContextLogic Holdings Inc. (OTCPK:LOGC) entered into a definitive agreement to acquire Gaylord Chemical Company, LLC from EagleTree Partners IV fund sponsored by EagleTree Capital, LP and their co-investor for $850 million on August 4, 2026. Committed equity financing of up to $870 million, which may be offset by proceeds from debt financing and a proposed rights offering (the "Rights Offering"); The transaction will be financed through senior debt of $275 million led by Blackstone Credit & Insurance, comprised of a $250 million term loan and a $25 million revolving credit facility.
Upon closing, gChem will become ContextLogic's second operating business.Transaction is expected to be materially accretive to free cash flow per unit after the Sellers. Gaylord Chemical Company, LLC will continue to be led by Chief Executive Officer Frank Roederer and its existing management team
The Transaction is expected to close by the end of 2026, subject to the receipt of customary regulatory approvals and the satisfaction of other closing conditions. Andrew M. Levine and William T. Waldman and Salvatore Vanchieri Jr. led a Latham & Watkins LLP team that was counsel to Blackstone Credit & Insurance, which provided debt financing for the acquisition.
