Emblem Cannabis Corporation completed the acquisition of Ayurcann Inc. from Ayurcann Holdings Corp. (CNSX:AYUR) for CAD 5.5 million. Emblem Cannabis Corporation proposed to acquire Ayurcann Inc. from Ayurcann Holdings Corp. (CNSX:AYUR) for CAD 5 million on April 12, 2026. The purchase price for the Transaction will be payable in cash on closing with the support of facilities generally available to Emblem. Upon closing of the Transaction, Emblem will acquire a comprehensive processing and manufacturing platform, including The Fuego, Xplor, and Happy & Stoned brands, together with all associated intellectual property, trademarks, brand assets, Ayurcann’s cannabis formulation, manufacturing, and packaging operations based in Pickering, Ontario, including Ayurcann’s interests in operational equipment and inventory, and other strategic assets.
The transaction is subject to regulatory approval, all government licenses required to operate the Ayurcann business, court approval and the satisfaction of customary closing conditions. The closing is currently anticipated to take place no later than May 15, 2026. As of June 3, 2026, the closing of the transaction is currently anticipated to take place on or about June 5, 2026, and in any event no later than June 30, 2026.
Emblem Cannabis Corporation completed the acquisition of Ayurcann Inc. from Ayurcann Holdings Corp. (CNSX:AYUR) for CAD 5.5 million on June 8, 2026. Total consideration was CAD 5.5 million, consisting of (1) a release of all amounts outstanding under the DIP Facility (CAD 2.1 million) and (2) cash consideration of CAD 3.4 million, funded through a combination of cash on hand and the proceeds of the DIP Facility assignment, paid to Alvarez & Marsal Canada Inc.
Management expects the transaction to be immediately accretive to both revenue and EBITDA while enhancing RWB's scale, manufacturing capabilities, product breadth and national distribution footprint. In addition, the combination is expected to generate operational synergies across cultivation, procurement, manufacturing, logistics and administration, while supporting continued product innovation and new product development.

Ayurcann Holdings Corp. Announces Chief Financial Officer Changes, Effective December 2, 2024 Ayurcann Holdings Corp. announced the appointment of Yisroel Zuchter as the Company's Chief Financial Officer to replace Roman Buzaker, effective December 2, 2024. Mr. Buzaker will remain the Company's President, Chief Operating Officer, and a director of the Company. With over 20 years of financial management experience, Mr. Zuchter will be responsible for overseeing Ayurcann's financial operations, strategy, and growth initiatives. Prior to joining the Company full time, Mr. Zuchter was a financial consultant to the Company for the last few quarters. In his career, Mr. Zuchter has held a number of progressively more senior positions in a variety of industries, including Banking, Retail and Telecom. His expertise spans across financial reporting, planning, analysis, and driving operational efficiencies, in a manufacturing setting. Mr. Zuchter holds a Bachelor of Commerce in Finance degree from Ryerson University and is a Chartered Professional Accountant (CPA, CMA).
