TECfusions Inc entered into a definitive agreement to acquire Apex Treasury Corporation (NasdaqGM:APXT) from Apex Treasury Sponsor LLC for $4 billion in a reverse merger transaction. TECfusions Inc entered into a definitive agreement to acquire Apex Treasury Corporation (NasdaqGM:APXT) from Apex Treasury Sponsor LLC for $4 billion in a reverse merger transaction on July 21, 2026. Pursuant to the terms of the transaction, 400 million newly issued shares will be paid to TECfusions. TECfusions shareholders are expected to hold approximately 89% of pro-forma equity. The combined company’s common stock is expected to trade on Nasdaq under the ticker symbol “TECF.”
Following closing, TECfusions’ existing management team is expected to continue leading the combined company. The transaction is subject to subject to antitrust regulations, minimum balance sheet requirements, execution of registration rights / letter agreement, approval of merger agreement by target board, approval of offer by acquirer shareholders, approval of offer by acquirer board, approval of offer by target shareholders, registration statement effectiveness(S-4 / F-4), lock-up agreement and listing / approval of new shares on stock exchange. The deal has been unanimously approved by the board. The expected completion of the transaction is during Q4 2026.
