Senmiao Technology Limited Announces Notice of Non-Compliance with Nasdaq Listing Rule Senmiao Technology Limited, as a company listed on the Nasdaq Capital Market, is required to maintain a minimum of USD 2,500,000 in stockholders' equity for continued listing per Listing Rule 5550(b)(1) (the Listing Rule). On August 21, 2026, Senmiao Technology Limited received a letter from the listing qualifications staff of Nasdaq Stock Market LLC informing the company that, as reported in its quarterly report on Form 10-Q for the period ended June 30, 2026, because its stockholders' equity was (-USD 35,344,336) as of June 30, 2026, it did not meet the alternatives of market value of listed securities or net income from continuing operations, and no longer complies with the Listing Rule. Senmiao Technology Limited has 45 calendar days to submit a plan to the staff to regain compliance or until October 5, 2026. If the plan is accepted, the company may be granted an extension of up to 180 calendar days from the date of the letter, or until February 17, 2027, to evidence compliance. In determining whether to accept the plan, the staff will consider such things as the likelihood that the plan will result in compliance with Nasdaq's continued listing criteria, past compliance history, the reasons for current non-compliance, other corporate events that may occur within the review period, overall financial condition, and public disclosures. If the staff does not accept the plan, Senmiao Technology Limited will have the opportunity to appeal that decision to a Hearings Panel. The Nasdaq notification has no immediate effect on the listing of the common stock on the Nasdaq Capital Market. Senmiao Technology Limited intends to actively monitor its stockholders' equity and will consider options available to achieve compliance with the Listing Rule. There can be no assurance that Senmiao Technology Limited will be able to regain compliance with the Listing Rule or will otherwise be in compliance with the other listing standards for the Nasdaq Capital Market. If the common stock ultimately were to be delisted for any reason, it could negatively impact the company by reducing the liquidity and market price of the common stock, reducing the number of investors willing to hold or acquire the common stock, limiting the ability to use a registration statement to offer and sell freely tradable securities, thereby preventing access to the public capital markets, and impairing the ability to provide equity incentives to employees.
