Nocera, Inc. Receives Compliance Letter Regarding Nasdaq Listing Rules As previously disclosed, on April 17, 2026, Nocera, Inc. received a notification letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC indicating that the Company did not comply with the minimum stockholders' equity requirement for continued listing on the Nasdaq Capital Market set forth in Nasdaq Listing Rules 5550(b)(1), 5550(b)(2) and 5550(b)(3). The Rule requires listed companies to maintain at least one of the following: a minimum of USD 2.5 million in stockholders' equity, a market value of listed securities of at least USD 35 million, or net income from continuing operations of at least USD 500,000. On August 10, 2026, the Company received a letter from Nasdaq Staff stating that, based on the Company's Quarterly Report on Form 10-Q for the period ended June 30, 2026, evidencing stockholders' equity of USD 5,435,030, Nasdaq Staff has determined that the Company complies with the Rule and that the matter is now closed. Nocera, Inc. Regains Nasdaq Bid Price Compliance Nocera, Inc. announced that it has received written notification from the Listing Qualifications Department of The Nasdaq Stock Market LLC (‘Nasdaq’) confirming that the Company has regained compliance with the minimum bid price requirement for continued listing set forth in Nasdaq Listing Rule 5550(a)(2). In its letter dated July 28, 2026, Nasdaq Listing Qualifications Staff determined that for the fifteen consecutive business days from July 7 through July 27, 2026, the closing bid price of the Company's common stock was at or above $1.00 per share. Nasdaq stated that the Company ‘has regained compliance with Listing Rule 5550 (a)(2), and this matter is now closed.’ The determination resolves the deficiency notification issued by Nasdaq on February 2, 2026'.
