GMEX Robotics Corporation (NasdaqCM:GMEX) entered into a share purchase agreement to acquire 30% stake in Alpha Meta AI Pte. Ltd. from MetaGen AI Limited and other shareholder for $2.5 million. GMEX Robotics Corporation (NasdaqCM:GMEX) entered into a share purchase agreement to acquire 30% stake in Alpha Meta AI Pte. Ltd. from MetaGen AI Limited and other shareholder for $2.5 million on July 28, 2026. A cash consideration of $1.51 million will be paid by GMEX Robotics Corporation. The consideration consists of common equity of GMEX Robotics Corporation having a value of $1.01 million to be issued for common equity of Alpha Meta AI Pte. Ltd. As part of consideration, $2.52 million is paid towards common equity of Alpha Meta AI Pte. Ltd. The share purchase agreement also includes make-good provisions tied to Issuer’s achievement of more than $52.6 million in aggregate revenue during the five years following the closing. If Issuer fails to achieve the revenue target, GMEX Robotics Corporation will be entitled to an adjustment to or partial refund of the consideration paid to Alpha Meta AI Pte. Ltd., in each case subject to the terms of the share purchase agreement. The share purchase agreement grants GMEX Robotics Corporation an irrevocable option, exercisable at any time during the 24-month period following the closing of the initial acquisition, to acquire additional equity interests in Alpha Meta AI Pte. Ltd. that, if exercised in full, would permit GMEX Robotics Corporation to obtain a controlling equity interest in Alpha Meta AI Pte. Ltd.
The proposed transaction remains subject to the satisfaction or waiver of closing conditions, including GMEX Robotics Corporation’s completion of legal, financial, tax, commercial, technical, intellectual-property, AI, privacy, cybersecurity and business due diligence to its reasonable satisfaction, receipt of required approvals and consents, execution of the related ancillary agreements and the absence of any legal restraint prohibiting the transaction.
