New major risk - Shareholder dilution The company's shareholders have been substantially diluted in the past year. Increase in shares outstanding: 36% This is considered a major risk. Shareholder dilution occurs when there is an increase in the number of shares on issue that is not proportionally distributed between all shareholders. Often due to the company raising equity capital or some options being converted into stock. All else being equal, if there are more shares outstanding then each existing share will be entitled to a lower proportion of the company's total earnings, thus reducing earnings per share (EPS). While dilution might not always result in lower EPS (like if the company is using the capital to fund an EPS accretive acquisition) in a lot cases it does, along with lower dividends per share and less voting power at shareholder meetings. Golden Rock Global Plc announced that it expects to receive £1.1 million in funding Golden Rock Global Plc announced a private placement to issue convertible loan notes due 2028 in the aggregate principal amount of GBT 1,100,000 on November 12, 2025. The notes will be convertible into ordinary shares of the company at a conversion price of GBP 0.03 per share and shall bear interest from the date of issue at the rate of 8% per annum. Noteholders will also receive one warrant for every two Ordinary Shares issued as a result of the conversion of the Convertible Notes. Each CLN Warrant provides the holder with the right to subscribe for one Ordinary Share at a price of GBP 0.03, exercisable for three years after issuance. Golden Rock Global plc Appoints Vivian Alexander Anderson MBE as Advisor to the Board of Directors Golden Rock Global PLC has appointed the former Nottingham Forest, Arsenal, Manchester United and England footballing Legend Vivian Alexander Anderson MBE ("Viv Anderson") as Advisor to the Board of Directors . Viv's distinguished career covers more than 30 years of business and commercial exposure, traversing diverse markets including sport, finance, logistics, hospitality and consulting. More recently Viv was retained as Global Ambassador for GAC Logistics, one of the world's largest providers of integrated shipping, logistics and marine services. Viv is the Founder and CEO of PlayOnPro, a network and technology platform that connects elite sports professionals with fans and supports players in their transition from professional careers into alternative business ventures. Viv originally created PlayOnPro to provide support for former professional footballers offering retirement assistance in finding new opportunities, and a platform for generating post-career income. As of today, PlayOnPro is a global platform servicing elite sports persons worldwide. Viv's previous tenures have seen him sit on the Football Associations judicial panel, appear regularly on MUTV and take the position of Global Ambassador at Victor Chandler. Viv serves as a representative for the Basil Skyers Melanoma Foundation, providing services and practical support for patients with multiple myeloma. Viv is also an ambassador and vocal supporter for Prostate Cancer UK and has participated in several fundraising events, including the Football to Amsterdam cycle ride and the Prostate United challenge raising funds for research and treatment. Viv Anderson is widely acclaimed as the first black player to represent England in a senior international football match, making his debut in 1978 against Czechoslovakia. His groundbreaking appearance paved the way for future generations of black footballers in English football. Viv earned 30 caps for England, appearing in two World Cup squads. Viv was awarded an MBE (Member of the Order of the British Empire) by the late Queen Elizabeth II for services to football in the Millennium honours list. In 2004 he was inducted into the National Football Museum Hall of Fame and is recognized as a true England legend by his peers and sports fans alike. Currently, Viv is a shareholder and advisor in various sports event companies where he remains active in football and the public eye, participating in after-dinner talks and sharing his experiences as a pioneering black footballer who overcame racial abuse. Viv retired from football in the mid 1990's after a prolific footballing career amassing 594 league games which included playing for Nottingham Forest were he won the First Division title in 1978 as well as the European Cup in 1979 and 1980. Viv also had a distinguished career playing for Arsenal, Sheffield Wednesday, Barnsley and Manchester United - where he was Sir Alex Ferguson's first signing. Despite retiring from playing football in 1994, Viv was still officially registered as a player and following an injury crisis at Middlesbrough he played two games for the club in the 1994-95 season, when they were promoted to the Premier League as First Division champions. After gaining promotion, Viv hung up his playing boots and remained Assistant Manager of Middlesbrough until June 2001, under his former Old Trafford teammate Bryan Robson OBE. Now focusing on the commercial side of business, Viv will offer GCG strategic guidance and exercise independent advice relating to any potential inaugural transaction.
