Cuarta Dimensión Médica S.L cancelled the acquisition of Seed Capital Solutions Plc in a reverse merger transaction. Cuarta Dimensión Médica S.L entered into non-binding heads of terms to acquire Seed Capital Solutions Plc (LSE:SCSP) for a transaction valued at £33.3 million in a reverse merger transaction on May 28, 2025. The consideration for the acquisition will be settled in issue of new ordinary shares of Seed Capital Solutions Plc such that the shareholders of Cuarta Dimensión Médica S.L. will own approximately 90% and the current shareholders of Seed Capital Solutions Plc will own approximately 10% of the fully diluted share capital of the enlarged Company.
The transaction is subject to consummation of due diligence investigation, approval by shareholders of the Seed Capital Solutions Plc at a general meeting, including a Rule 9 waiver resolution, completion of an equity fundraising to provide working capital for the enlarged group, publication of a prospectus approved by the FCA and re-admission of the enlarged share capital to the Official List and to trading on the Main Market of the London Stock Exchange. As of March 9, 2026, Seed Capital Solutions Plc, alongside its advisers and sponsor, continues to work towards finalizing the documentation required for completion of the proposed transaction with Cuarta Dimension Medica SL ("4DM") for the acquisition by Seed Capital Solutions Plc of all of the issued share capital of 4DM in exchange for the issue of new ordinary shares in Seed Capital Solutions Plc and subsequent readmission of Seed Capital Solutions Plc's shares to trading on the London Stock Exchange. Subject to completion of the Acquisition, the enlarged group will operate as a leading AI-driven diagnostics business, initially focused on the veterinary sector with scope to expand into the wider healthcare market.
