Meeka Metals Limited (ASX:MEK) acquired Various gold Mining Tenements surrounding Mt Holland in Australia from Montague Resources Australia Pty Limited and MH Gold Pty Ltd.

Meeka Metals Limited (ASX:MEK) entered into binding agreement to acquire Various gold Mining Tenements surrounding Mt Holland in Australia from Montague Resources Australia Pty Limited and MH Gold Pty Ltd for AUD 36.4 million on April 24, 2026. A cash consideration AUD 10 million on Completion , Deferred Consideration of AUD 10 million on the 3-month anniversary following Completion; and 117.8 million fully paid ordinary shares in Meeka and subject to a period of 12 months voluntary escrow from the date of Completion. The shares will be issued under Meeka’s existing placement capacity under ASX Listing Rule 7.1 and rank equally with existing shares. Accordingly, shareholder approval for the share issue is not required. The cash portion of the Consideration is to be funded by existing cash and operating cashflows. Completion of the Acquisition is subject to the satisfaction of the following conditions precedent: execution of a deed of assignment and assumption in respect of the LRA; execution of a deed of assignment and assumption in respect of the third part gold royalty deed referred to above; execution of a deed of covenant in respect of the Heritage Protection Agreements; execution of a deed of assignment and assumption in respect of a third party access agreement; and the grant of ministerial consent to the transfer of the Mining Tenements (other than the New ML) under the Mining Act 1978. Meeka Metals Limited (ASX:MEK) completed the acquisition of Various gold Mining Tenements surrounding Mt Holland in Australia from Montague Resources Australia Pty Limited and MH Gold Pty Ltd on April 24, 2026.
