We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So we'll take a look at whether insiders have been buying or selling shares in Signature Bank (NASDAQ:SBNY).
What Is Insider Selling?
It's quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, such insiders must disclose their trading activities, and not trade on inside information.
Insider transactions are not the most important thing when it comes to long-term investing. But logic dictates you should pay some attention to whether insiders are buying or selling shares. For example, a Columbia University study found that 'insiders are more likely to engage in open market purchases of their own company’s stock when the firm is about to reveal new agreements with customers and suppliers'.

Signature Bank Insider Transactions Over The Last Year
The Co-Founder, Joseph DePaolo, made the biggest insider sale in the last 12 months. That single transaction was for US$3.3m worth of shares at a price of US$124 each. That means that an insider was selling shares at around the current price of US$118. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign. Notably Joseph DePaolo was also the biggest buyer, having purchased US$5.8m worth of shares.
In the last twelve months insiders purchased 46250 shares for US$5.8m. But they sold 151388 for US$19m. In total, Signature Bank insiders sold more than they bought over the last year. Insider Ownership of Signature Bank
Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Signature Bank insiders own about US$163m worth of shares (which is 2.6% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
What Might The Insider Transactions At Signature Bank Tell Us?
There haven't been any insider transactions in the last three months -- that doesn't mean much. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Signature Bank insider transactions don't fill us with confidence.
