Montagu Private Equity LLP and Kohlberg & Company, L.L.C. completed the acquisition of Teleflex Medical OEM from Teleflex Incorporated (NYSE:TFX) for $1.5 billion.
Montagu Private Equity LLP and Kohlberg & Company, L.L.C. entered into an agreement to acquire Teleflex Medical OEM from Teleflex Incorporated (NYSE:TFX) for an enterprise value of $1.5 billion on December 9, 2025. A cash consideration of $1.5 billion will be paid by Montagu Private Equity LLP and Kohlberg & Company, L.L.C. As part of consideration, $1.5 billion is paid towards common equity of Teleflex Medical OEM. The purchase price is subject to customary adjustments for cash, indebtedness, transaction expenses and working capital. In related transaction, Acute Care, Interventional Urology business will be sold to Intersurgical Ltd. for $530 million. In case of termination, Montagu Private Equity LLP and Kohlberg & Company, L.L.C. shall pay Teleflex a termination fee of $90 million.
Greg Stotts, who joined Teleflex in 2006 and currently serves as the Company’s President and General Manager, will become Chief Executive Officer of the Teleflex Medical OEM. Matt Jennings, Operating Partner at Kohlberg, will assume the role of Chairman of the Company upon closing of the transaction.
The transaction is subject to approval by regulatory board / committee and approval of merger agreement by target board, including the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. The deal has been approved by the board. The transaction is expected to be completed in the second half of 2026. The closing of the transaction is subject to customary conditions, including expiration or termination of the HSR waiting period. Teleflex primarily intends to use the net proceeds to return significant capital to shareholders through share repurchases and pay down debt, enhancing its financial flexibility to support its growth strategy. As of March 13, 2026, the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 expired, satisfying one of the closing conditions for the transaction. The transaction is anticipated to be completed in the third quarter of 2026, and the closing remains subject to certain other regulatory approvals and conditions as set forth in the agreement. As of March 27, 2026, it was announced that the transaction is on track to close in the second half of 2026.

Under the terms of the agreement, Teleflex estimates after tax proceeds of approximately $1.25 billion for its OEM business.
