A funds managed by EQT AB (publ) (OM:EQT) proposed to acquire Cleanaway Waste Management Limited (ASX:CWY) for AUD 7 billion. An affiliate fund managed by EQT AB (publ) (OM:EQT) proposed to acquire Cleanaway Waste Management Limited (ASX:CWY) for AUD 6.7 billion on August 13, 2026. A cash consideration of AUD 6.72 billion valued at AUD 3 per share will be paid by EQT AB (publ). As of August 13, 2026, EQT AB (publ) entered into a Transaction Process Deed in relation to the Proposal to acquire Cleanaway Waste Management Limited for AUD 7 billion, by way of a scheme of arrangement. As part of consideration, AUD 3.13 cash per share or AUD 6.72 billion is paid towards common equity of Cleanaway Waste Management Limited. The indicative cash price offered to shareholders under the Proposal is AUD 3.13 per share, less the cash amount of any dividends or other distributions declared or paid from the date of the Proposal. The Proposal price per share implies an enterprise valuation of approximately AUD 9.4 billion of and represents, a premium of 32.1% to the last closing share price of Cleanaway of AUD 2.37 per share on August 12, 2026.
The transaction is subject to subject to satisfactory completion of customary due diligence by EQT Infrastructure; a unanimous Cleanaway Board recommendation; final approvals for the transaction being obtained by EQT Infrastructure; and entry into a SID on customary terms and conditions including deal protection mechanisms, break fee, regulatory approvals (including Foreign Investment Review Board and Australian Competition & Consumer Commission, and no material adverse change to Cleanaway's business. The deal has been unanimously approved by the board. The Cleanaway Board has determined that it is in the best interests of Cleanaway shareholders to provide EQT Infrastructure with the opportunity to undertake up to 9 weeks exclusive due diligence and to negotiate a scheme implementation deed (SID) to agree a binding transaction. There is no certainty the Proposal will lead to a binding proposal for consideration by Cleanaway shareholders or that any transaction will eventuate. Cleanaway shareholders do not need to take any action in relation to the Proposal.

Cleanaway Waste Management Limited Announces CFO Changes Cleanaway Waste Management Limited announced that Chief Financial Officer, Paul Binfield, decided to step down from his role with the Company after more than five years with Cleanaway. Following a comprehensive search process, Nigel Simonsz was appointed Chief Financial Officer and will commence on July 27, 2026. Nigel Simonsz is an experienced public company executive, having previously served as Group Chief Financial Officer and Group Chief Executive Officer of United Petroleum and Chief Financial Officer at Sigma Healthcare Limited and Australian Agricultural Company. Dr Vanessa Guthrie AO is a highly experienced executive and non-executive director with over 40 years’ experience in the resources sector, spanning mining, energy and large-scale infrastructure. She is also Deputy Chair of Cricket Australia and Chancellor of Curtin University. Dr Guthrie brings deep experience overseeing asset-intensive, safety-critical operations, complex regulatory environments and long-term capital investment, with a strong focus on sustainability and stakeholder engagement.
