(TSXV:GSI) announced a non-brokered private placement of up to 5,000,000 units at a price of CAD 1 per unit for gross proceeds of up to CAD 5,000,000 on August 26, 2020. Each unit will consist of one common share of the company and one common share purchase warrant, with each warrant entitling the holder to acquire one additional common share at a price of CAD 1.10 for a period of twenty-four months from the date of closing. If the stock price trades over CAD 1.35 per share for a period of ten consecutive trading days, the company will have the right to accelerate the expiry of the warrants by providing notice to the holders that the warrants will expire on the date that is not less than 30 days from the date the notice is provided. All securities issued in connection with the transaction will be subject to a four month hold period under applicable Canadian securities laws.
