The other consortium buyers are Wilcher Investments (Pty) Ltd, Carey Millerd, Heather Millerd, Willem Venter, Cheree Dyers, Daniel Acres, Tarryn Elario, Calvyn du Toit, Esmarie Strydom, Lorelle Futter, Craig Mockford, Alfisti, Zethu Msindo, David Hansford, Joel Wei, Anthea Koral, Dawie Carstens, Roshnee Naidoo, Shandre Snyman, Lameez Amlay, Andrew van Osch, Julie Nell, Jaeger Coert and Hayden Reinder. Under the terms of the transaction, the Consortium will pay ZAR 1.67 million in cash and 106.2 million shares of PBT Group. The cash received will reduce short term borrowings and the PBT Group shares received will be held as treasury shares. In a related transaction the consortium of buyers are also buying Prescient Capital (Pty) Ltd from PBT Group Limited. Furthermore, the Proposed Transaction is subject to shareholder approval excluding the votes of the related party and its associates. As a condition to the transaction, a statement needs to be made by the board of directors of PBT Group confirming whether the Proposed Transaction is fair insofar as the shareholders of the PBT Group are concerned and that the board of directors to be advised by an independent expert acceptable to the Johannesburg Stock Exchange (JSE). The transaction is expected to be completed by July 31, 2018. Bridge Capital Advisors Proprietary Limited acted as the sponsor of the transaction to PBT Group. Mazars Corporate Finance (Pty) Ltd acted as the independent expert to advise the ordinary shareholders of the PBT Group. A consortium of buyers, including Fisc Investment Management (Pty) Ltd, Nimeemmi CC, Fermagh Investments (Pty) Ltd, Prescient Empowerment Trust (Proprietary) Limited and others completed the acquisition of an unknown minority stake Prescient Holdings Proprietary Limited from PBT Group Limited (JSE:PBG) on September 28, 2018. On September 28, 2018, the shareholders of PBT Group approved the transactions.
