Earnings per share (EPS) also surpassed analyst estimates by 35%. The dividend has increased by an average of 26% per year over the past 2 years and payments have been stable during that time. EPS is expected to decline by 18% over the next 3 years. The increase in authorized shares gives Willis Lease Finance more flexibility for future equity issuance, which can affect capital-raising options, employee equity plans, or potential acquisitions. The split itself multiplies the share count without changing the company’s overall market value. The stock last traded at US$216.27, with the share price up 61.3% year to date, so the split would lower the per-share trading price while keeping that recent performance record intact on an adjusted basis. A key consideration here is future dilution risk, since a larger pool of authorized shares can later be issued, which would spread earnings and ownership across a higher share count.分析記事 • Jun 19Willis Lease Finance (WLFC) Stock Looks Cheap On P E After Strong Quarterly GrowthWillis Lease Finance (WLFC) is drawing fresh attention after reporting quarterly revenue growth of 26.36% year over year and a 52.89% rise in net profit, along with strong operating efficiency and cash generation. In addition, Four Tree Island commented on the decisive rebuke to Board of Directors and management team and profound lack of confidence in governance and oversight, clear and unambiguous message from minority stockholders that fundamental changes are required and urged the Company shareholders to vote against the proposed increase in authorized shares. Further, Four Tree Island stating that cancellation and rescission of 300,000-share option grant awarded to Executive Chairman Charles Willis, and sale of luxury superyacht and sale of one of two corporate aircraft and commitment not to acquire similar assets. Furthermore, Four Tree Island called on the Company Board to address egregious compensation and perquisite culture and respect mandate of stockholders and continuing to ignore will of minority stockholders risks further erosion of trust and value.ライブニュース • May 30Willis Lease Finance Announces US$200 Million Convertible Notes Offering With Equity Upside PotentialWillis Lease Finance plans to issue US$200m of convertible senior notes due May 2031, with an option for underwriters to purchase an additional US$30m. The notes will carry a 2.50% interest rate and can be converted to equity at a price about 46% above the current stock price. The company intends to use the proceeds primarily to repay amounts outstanding under its revolving credit facility. The mix of low-interest debt and a conversion price set well above the current stock level reflects a funding approach that can reduce near-term interest expense while only introducing potential equity dilution at higher prices. Repaying the revolver with longer-dated notes also shifts part of the company’s capital structure toward fixed-term funding, which changes the balance between liquidity flexibility and future refinancing or conversion risk.Price Target Changed • May 20Price target increased by 41% to US$226Up from US$160, the current price target is provided by 1 analyst. In addition, Four Tree Island highlighted that such pay would rank among the highest-paid CEOs despite Company significantly underperforming peers, and raised broader issues regarding governance, related party transactions, and whether the Board has exercised appropriate oversight, alleging that decisions have primarily benefited the Executive Chairman at the expense of minority stockholders. Further, Four Tree Island opposed the proposed Charter Amendment, including an increase in share capital and potential 3-for-1 stock split, warning of continued dilution and emphasizing that approval requires 80% shareholder support, thereby giving minority investors decisive influence, and called on stockholders to send a clear message of dissatisfaction, vote against the proposals, and communicate concerns directly to the Board ahead of the May 26, 2026 meeting.お知らせ • May 06Willis Lease Finance Corporation Reports Unaudited Consolidated Write-Down of Equipment for the First Quarter Ended March 31, 2026Willis Lease Finance Corporation reported unaudited consolidated write-down of equipment for the first quarter ended March 31, 2026. ライブニュース • Jun 25Willis Lease Finance Holders Approve 3-for-1 Split and Charter ExpansionWillis Lease Finance shareholders approved a 3-for-1 forward stock split of the company’s common stock, along with a proportionate increase in authorized shares, to be implemented through an amendment to the certificate of incorporation, with split-adjusted trading expected to start on July 20, 2026, subject to Nasdaq’s final approval. A key consideration here is future dilution risk, since a larger pool of authorized shares can later be issued, which would spread earnings and ownership across a higher share count.

Furthermore, Four Tree Island called on the Company Board to address egregious compensation and perquisite culture and respect mandate of stockholders and continuing to ignore will of minority stockholders risks further erosion of trust and value.
ライブニュース • May 30Willis Lease Finance Announces US$200 Million Convertible Notes Offering With Equity Upside PotentialWillis Lease Finance plans to issue US$200m of convertible senior notes due May 2031, with an option for underwriters to purchase an additional US$30m. Repaying the revolver with longer-dated notes also shifts part of the company’s capital structure toward fixed-term funding, which changes the balance between liquidity flexibility and future refinancing or conversion risk.

お知らせ • May 13Four Tree Urges Willis Lease Finance Stockholders to Vote Against Company ProposalsOn May 11, 2026, Four Tree Island Advisory LLC urged the shareholders of Willis Lease Finance Corporation to vote against all proposals set forth in the Company’s 2026 Annual Meeting except the ratification of the independent auditor, citing concerns over Executive Chairman Charles Willis’s $52.1 million 2025 compensation, which it argues is unjustifiable given Company’s small market capitalization and weak total shareholder return, especially in comparison to far larger and better-performing Companies where compensation levels are lower relative to scale and performance. Further, Four Tree Island opposed the proposed Charter Amendment, including an increase in share capital and potential 3-for-1 stock split, warning of continued dilution and emphasizing that approval requires 80% shareholder support, thereby giving minority investors decisive influence, and called on stockholders to send a clear message of dissatisfaction, vote against the proposals, and communicate concerns directly to the Board ahead of the May 26, 2026 meeting.
