Sberbank of Russia (MISX:SBER) acquired an unknown minority stake in PJSC Element (MISX:ELMT) from Sistema Public Joint Stock Financial Corporation (MISX:AFKS) in a transaction valued at approximately RUB 24 billion on December, 2025. sberbank will receive virtually all the assets that are part of the group, Robot Corporation remains under the control of AFK Sistema. after the completion of the deal, all of Element's production assets will be transferred to the management of one of Sberbank's subsidiaries, on the basis of which it is further planned to consolidate other companies in the industry. PJSC Element will be dissolved.

Etalon Group PLC agreed to acquire Joint Stock Company Business - Realty from Sistema Public Joint Stock Financial Corporation (MISX:AFKS) for RUB 14.1 billion. Etalon Group PLC agreed to acquire Joint Stock Company Business - Realty from Sistema Public Joint Stock Financial Corporation (MISX:AFKS) for RUB 14.1 billion on August 28, 2025. A cash consideration of RUB 14.1 billion will be paid by Etalon Group PLC. As part of consideration, RUB 14.1 billion is paid towards common equity of Joint Stock Company Business - Realty. The portfolio of AO Business-Real Estate includes 42 properties in attractive locations in Moscow and St. Petersburg. The sites will be used for the construction of premium and business class residential and commercial real estate projects. On the land plots of the recreational zone of the first coastline of Serebryany Bor in Moscow, Etalon Group is implementing low-rise residential and commercial development projects under the premium brand AURIX.
The Group intends to finance the transaction using funds raised during the Company's planned SPO on the Moscow Exchange. This mechanism will allow the Group to expand its land bank without attracting additional debt in the context of high interest rates.
