A cash consideration of CAD 1.93 billion valued at CAD 45.75 per share will be paid by Kirin Holdings Company, Limited. As part of consideration, CAD 1.93 billion is paid towards common equity of Jamieson Wellness Inc. Upon completion, it is expected that Jamieson Wellness Inc. will be delisted from the TSX and will cease to be a reporting issuer in all applicable Canadian jurisdictions. In case of termination of transaction, Jamieson Wellness Inc. will pay a termination fee of CAD 70 million or 3.50% of the aggregate equity value. Mr. Vimard is a seasoned board member who currently serves as chair of the Board of Kruger Products Inc.
